It's the time of year that I get my proxy vote emails for board members and other stock holder issues from the stocks I have. I notice that they all seem to have about 11 or 12 board members. Why that many? Do they really need that many. Just wondering

Probably due to a few reasons. Possibly similar to a jury, it’s better to have a pool of people instead of just one or two people having power. Second, board members may head a variety of different committees (audit, compensation, governance, etc.), and it could be too much of a time commitment for one or two people to take the lead on all of them.

I read some things on it but didn't really get much info. A 12 member board get equal voting shares of the outstanding shares. I think their compensation is too much. I always note no on my ballot.

I always note no on my ballot. rip - I am surprised you didn't figure out the reason why some boards have eleven or other odd number board members. It's because odd number board members like eleven cannot have tied votes on any issue(s).
